Freight:

Freight is prepaid at $ or more per each purchase order submitted by Customer, based on Net Invoice. Shipments to multiple warehouses cannot be combined to meet minimum freight requirements. Individual purchase orders not meeting this dollar per purchase order threshold shall be paid by Customer.

Termination:

This Program Letter may be immediately terminated by VEC upon notice upon any of the following events: (i) Customer is terminated as a seller of VEC products, (ii) Customer breaches any of the terms and conditions of this Program Letter or any master agreement (“Agreement”) that it has with VEC, as applicable, (iii) Customer fails to timely and fully pay any invoice from VEC in accordance with its terms, (iv) Customer fails to meet the quarterly and Nine Month sales goals specified herein, (v) Customer files a petition in bankruptcy or for reorganization or for the adoption of an arrangement under any present or future bankruptcy, reorganization or similar law or such a petition is filed against Customer and is not dismissed within 30 days, (vi) a trustee in bankruptcy or receiver or similar entity is appointed for Customer, (vii) Customer makes an assignment for the benefit of its creditors, (viii) VEC otherwise determines in its sole discretion that Customer is financially insolvent or unable to pay its debts as they become due, (ix) Customer ceases to conduct its operations in the normal course of business, or (x) VEC reasonably believes that any of the events mentioned above is about to occur.

Effect of Termination upon Incentives:

Customer’s achievement of any applicable Nine Month volume incentive rebate accrues at the conclusion of the Program Letter Term only if Customer has both (a) achieved the applicable goal, and (b) is, as of the conclusion of the Program Letter Term, in compliance with all terms of their Agreement with VEC, including this Program Letter. Similarly, if quarterly rebates are applicable, such rebates accrue at the conclusion of the applicable quarterly period upon both achievement of the applicable goal and if Customer remains in compliance with the Agreement. No rebate or other incentive is earned or due to be paid if this Program Letter or the Agreement is terminated prior to the conclusion of the applicable Program Letter Term (for amounts payable over the Nine Month period) or quarter (for amounts payable quarterly). Any unapplied or unpaid discount payable under this Program Letter is forfeited if this Program Letter or any applicable Agreement is terminated prior to accrual.

Miscellaneous:

Unless required by law, Customer shall not disclose the existence, terms, or conditions of this Program Letter to any person or entity. This Program Letter shall be governed by and constructed in accordance with the laws of the State of New York, without regard to principles of conflicts of law and parties expressly consent to the exclusive personal jurisdiction and venue in the federal state courts of the State of New York. This Program Letter is an amendment to the terms of the Agreement in effect between the Parties. Unless specially modified by this Program Letter, all terms of the Agreement remain in full force and effect.

Volume Rebate is payable within thirty (30) days of the conclusion of the Program Letter Term (or, for Quarterly Rebates, if applicable the conclusion of the Quarterly Period if achieved. Only the rebate corresponding with the highest target achieved shall be paid.

a. Customer is accurately identified,

b. Customer is validly existing and in good standing, and

c. The person clicking such “Submit” button has authority to execute this Agreement and bind Customer to the terms and conditions stated herein.
